Grand Source Tech Limited
This document outlines the terms and conditions (“Agreement”) under Grand Source Tech Limited (“the Company,” “we,” “us,” or “our”) and the Client (“Client”). By engaging with Grand Source Tech Limited, the Client agrees to be bound by the terms and conditions outlined in this Agreement.
A. Scope of Services
Grand Source Tech Limited offers key below services:
- Stable distribution, for medical and industrial applications.
- Tailed-made chemical compound distribution, for medical and scientific research.
- Technical consulting service in the field of sustainable sources.
The specific services provided to the Client will be defined in a separate service agreement or proposal.
B. Engagement Process
The Client may place orders for products and services through the Company’s website or by contacting customer support. All orders are subject to confirmation, and the Company reserves the right to refuse any order for any reason. Custom-tailored products may require additional lead time and specific customer approval before production begins.
The Company will ensure the timely delivery of products; however, delivery times may vary depending on location, product availability, and other factors outside the Company’s control. Risk of loss for all products transfers to the customer upon delivery to the carrier.
C. Fees and Payment Terms
Prices for products and services are available on the Company’s website or via quotation. All prices are subject to change without prior notice. Custom orders may incur additional charges based on complexity, material costs, or other factors. Payments must be made according to the terms specified on the invoice or as agreed upon during the order confirmation. Late payments may result in interest charges and a temporary suspension of services.
D. Warranties and Disclaimers
1. Product Warranties
The Company guarantees that all distributed products meet the required safety and quality standards at the time of delivery.
Custom chemical compounds are produced based on customer specifications. The Company is not liable for issues arising from incorrect or incomplete specifications provided by the customer.
2. Consulting Services
Consulting services are provided on a best-effort basis. The Company does not guarantee specific outcomes unless agreed upon in writing.
Recommendations made by the Company in the field of sustainable sources are based on current knowledge and practices; however, the Company is not responsible for implementation or third-party outcomes.
3. Limitation of Liability
The Company’s liability is limited to the replacement of defective products or the re-performance of consulting services, at the Company’s discretion.
The Company is not liable for any indirect, incidental, or consequential damages arising from the use of its products or services.
E. Returns and Refunds
Customers may return products within 30 days of delivery for a full or partial refund, provided the products are unused and in their original packaging. Custom-tailored products are non-refundable unless a defect or error attributable to the Company is identified.
Refunds will be processed within 30-45 days of receiving the returned products. The customer is responsible for return shipping costs unless the return is due to a defect or error on the part of the Company.
F. Confidentiality
The Company is committed to protecting customer information in compliance with applicable data protection laws. Customer information will only be used for the purpose of providing services and will not be shared with third parties without consent, except as required by law.
G. Intellectual Property
All content on the Company’s website, including text, graphics, logos, and proprietary information, is the intellectual property of the Company. No content may be reproduced, distributed, or modified without the Company’s written consent.
H. Force Majeure
The Company shall not be liable for any failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, war, labor strikes, and supply chain disruptions.
I. Amendments
The Company reserves the right to modify these terms and conditions at any time, provided the Client is notified in writing. Any amendments will not affect services already underway unless mutually agreed upon by both parties.
J. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Marshall Islands. Any disputes arising from these terms will be resolved through good faith negotiations, and if necessary, through binding arbitration in Marshall Islands.
